Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On May 11, 2025, the Board of Directors (the “Board”) of The Clorox Company (the “Company”) elected Gina Boswell to the Board, effective May 19, 2025. In addition, the Board appointed Ms. Boswell to the Nominating, Governance and Corporate Responsibility Committee of the Board, effective May 19, 2025. Ms. Boswell will be provided with the Company’s standard non-employee director compensation and director indemnification agreement.
A press release announcing the election of Ms. Boswell is filed as Exhibit 99.1 and is incorporated herein in its entirety.
