Item 8.01 Other Events.

As previously disclosed, on December 14, 2021, CMC Materials, Inc. (the “Company” or “CMC”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Entegris, Inc. (“Entegris”) and Yosemite Merger Sub, Inc., a wholly owned subsidiary of Entegris (“Merger Sub”), pursuant to which, on the terms and subject to the conditions set forth therein, Merger Sub will merge with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly owned subsidiary of Entegris.

The completion of the Merger is conditioned upon the expiration or termination of the waiting period applicable to the consummation of the Merger under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Waiting Period”). The HSR Waiting Period expired on January 28, 2022. The closing of the transaction remains subject to the satisfaction of customary closing conditions, including other regulatory approvals and approval by the Company’s stockholders.
