Explanation of Responses:

1. Represents shares of restricted stock granted on April 5, 2024 under the 2019 Omnibus Stock and Incentive Plan for Sonida Senior Living, Inc., as amended (the "Plan"), which are scheduled to vest in installments of 33%, 33% and 34% on April 5, 2025, April 5, 2026 and April 5, 2027, respectively.

2. Represents shares of performance-based restricted stock granted on April 5, 2024 under the Plan that will vest upon achievement of the target performance objective.

3. Represents shares that were withheld upon vesting of restricted stock to satisfy tax withholding obligations.
