Item 2.02 - Results of Operations and Financial Condition
On February 12, 2025, Cognex Corporation (the "Company") issued a news release to report its financial results for the quarter and year ended December 31, 2024. The release is furnished as Exhibit 99.1 hereto. The information in Item 2.02 of this Current Report on Form 8-K, including the Exhibit attached hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed to be incorporated by reference in any filing under the Securities Act of 1933 or the Securities Exchange Act of 1934, regardless of any general incorporation language in such filing.

On February 12, 2025, the Company announced that its Board of Directors declared a quarterly cash dividend of $0.08 per share. The dividend is payable on March 13, 2025, to all shareholders of record at the close of business on February 27, 2025.
