Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In a press release issued on October 21, 2024, Coherent Corp. (the “Company”) announced that Ronald Basso’s service as an executive officer of the Company in the role of Chief Legal Officer ended simultaneously with the appointment of Rob Beard as the Company’s Chief Legal and Global Affairs Officer, all effective on October 21, 2024. Mr. Basso will remain with the Company in a non-executive transitional role until his retirement effective December 31, 2024.
