Item 5.03 Amendments to Certificate of Incorporation or Bylaws; Change in Fiscal Year.
On June 26, 2024, Connexa Sports Technologies Inc. (the “Company”) filed a Certificate of Amendment to the Certificate of Incorporation with the Secretary of State of the State of Delaware to increase the number of authorized shares of common stock from 300,000,000 to 1,000,000,000 and to implement a 1-for-20 reverse stock split. Our common stock began to trade on a reverse split adjusted basis on June 27th. No fractional shares were issued in connection with the reverse stock split and all such fractional interests were rounded up to the nearest whole number of shares of common stock. The Certificate of Amendment to the Certificate of Incorporation is attached as Exhibit 3.1. hereto and is incorporated by reference herein.
