Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously announced on November 29, 2024, Tom Panther notified Corpay, Inc. (the “Company”) of his decision to resign as Chief Financial Officer (“CFO”) effective March 15, 2025. The Company’s search for a new CFO is ongoing. In the interim, on March 17, 2025, the Board of Directors of the Company appointed Alissa Vickery to serve as the Company’s interim CFO, effective immediately upon Mr. Panther's departure. Ms. Vickery, age 47, joined the Company in April 2011 and has served as the Company’s Chief Accounting Officer, since September 2020, and previously served as the Company’s interim CFO from September 2022 through May 2023. Since 2020, Ms. Vickery has held the title of Senior Vice President of Accounting and Controls, with oversight of external reporting, technical accounting and internal audit.
