Explanation of Responses:

1. The Reporting Person was issued the securities in lieu of $61,426 of compensation due to it.

2. Includes shares of common stock issuable upon vesting of restricted stock units.

3. The amount beneficially owned will not reconcile to prior Form 4's as a result of a scriveners error in the settlement shares included on the Form 4 filed with the Securities and Exchange Commission on January 3, 2024.

4. In accordance with Rule 16b3(d), the shares were withheld to satisfy the Reporting Person's tax withholding obligations.
