Item 8.01 Other Events.

CVB Financial Corp., the parent company of Citizens Business Bank ("CBB"), today reports that the federal Office of the Comptroller of the Currency has approved CBB's application to convert from a California-chartered bank to a national banking association.

CBB's conversion to a national banking association will be effective on December 15, 2025, at which time CBB's legal name will change to "Citizens Business Bank, National Association."
