Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 22, 2025, Ben Landen, Vice President of Business Operations of Cyngn Inc. (the “Company”), resigned from his position with the Company, effective October 24, 2025. Mr. Landen’s resignation was not the result of any disagreement with the Company on any matter relating to its operations, policies, or practices.

The Company wishes Mr. Landen all the best in his future endeavors and thanks him for his contributions to the Company.
