Item 8.01. Other Events

On August 19, 2025, Cyngn Inc. (the “Company”) filed a definitive proxy statement on Schedule 14A in connection with the Company’s 2025 annual meeting of stockholders (the “Annual Meeting”), which was scheduled to be held on October 6, 2025. The Company has decided to cancel the Annual Meeting. The Company will reschedule its Annual Meeting and will file a new proxy statement with the Securities and Exchange Commission in connection therewith.
