Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 30, 2022, DarioHealth Corp. (the “Company”) was informed of the death of Prof. Richard Stone, a member of the Company’s Board of Directors (the “Board”). Prof. Stone served as a member of the Board since 2014 and will be greatly missed. Prof. Stone served as a member of the Audit Committee as well as the Chair of the Company’s Corporate Governance and Nominating Committee.

To fill the vacancy on the Audit Committee and Corporate Governance and Nominating Committee, the Board appointed Mr. Dennis Matheis, an existing independent director of the Company, to serve as a member of the Company’s Audit Committee as well as a member, and Chair, of the Company’s Corporate Governance and Nominating Committee.
