Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of First Community Bankshares Inc. common stock, or at the reporting persons election, the cash value thereof. The restricted stock units vest in one installment on May 23, 2024.

2. Shares also increased due to quarterly dividend reinvestment.

3. These shares were acquired upon the vesting of previously reported equity awards, and were disposed of to permit the cash value of the awards to be credited to the reporting persons deferred compensation plan account.

4. Each share of phantom stock is the economic equivalent of one share of common stock. The shares of phantom stock become payable, in cash or common stock, at the election of the reporting person, upon the reporting person's termination of service as a director.

5. Stock options vest in three equal installments over three years beginning with 03/31/2022.
