Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 6, 2024, the Board of Directors (the "Board") of DaVita Inc. (the "Company") adopted resolutions expanding the size of the Board from ten to eleven members, and appointing Dennis W. Pullin as a member of the Board, in each case effective as of April 10, 2024. The Board also appointed Mr. Pullin to serve as a member of the Compliance and Quality Committee of the Board, effective as of April 10, 2024.

Mr. Pullin will receive the standard compensation and indemnification applicable to all other non-employee directors. The Company has described its Non-Employee Director Compensation Policy in the Proxy Statement on Schedule 14A filed with the U.S. Securities and Exchange Commission (the “SEC”) on April 25, 2023. The Company has entered into its standard indemnification agreement with Mr. Pullin, the form of which is an exhibit to the Current Report on Form 8-K filed with the SEC on December 20, 2006.
