Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Resignation of Chief Executive Officer and Appointment of Chief Restructuring Officer
On May 16, 2024, at the request of the independent directors of the Delta Apparel, Inc. (“Company”) Board of Directors (“Board”), Robert W. Humphreys submitted his resignation effective June 29, 2024, as Chairman of the Board and Chief Executive Officer along with all positions held by Mr. Humphreys with the Company, any subsidiary of the Company or any other entity owned or controlled by the Company or in which the Company has an ownership interest.
The Company has appointed Tim Pruban with Focus Management Group as its Chief Restructuring Officer. Mr. Pruban will be advising the Board on succession planning in regards to Mr. Humphreys’ departure.
