Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously disclosed on June 18, 2024, DermTech, Inc. and its subsidiary, DermTech Operations, Inc. (together, the “Company” or “DermTech”) filed a voluntary petition for relief under Chapter 11 of Title 11 (“Chapter 11”) of the United States Bankruptcy Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”), thereby commencing a Chapter 11 case for the Company - In re DermTech, Inc., et. al. (Bankr. D. Del.).
On June 18, 2024, the Company received written notice from the Listing Qualifications Department of the Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that, as a result of the Chapter 11 case and in accordance with Nasdaq Listing Rules 5101, 5110(b), and IM-5101-1, the Nasdaq staff determined that the Company’s common stock will be delisted from Nasdaq, and Nasdaq will file a Form 25-NSE with the U.S. Securities and Exchange Commission. The Company does not intend to appeal this determination.
Trading of the Company’s common stock on the Nasdaq Capital Market will be suspended at the opening of business on June 27, 2024.
