1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $14.00 to $14.39, inclusive. Details on the number of shares purchased at each separate price will be provided to the staff of the Securities and Exchange Commission upon request.

2. The reporting person is a managing member of Bayou Well Holdings Company, LLC. Therefore, the reporting person may be deemed to have voting and dispositive power over the shares of Class A Common Stock held by Bayou Well Holdings Company, LLC. He disclaims beneficial ownership except to the extent of his pecuniary interest therein.
