Explanation of Responses:

Restricted Stock Units (RSUs) granted under the 2022 Long-Term Incentive Plan, which will vest on the earlier of (i) the first anniversary of the grant date and (ii) the next annual meeting of shareholders of the Company following the grant date. Vested RSUs will be settled one year after termination of service as a director.
