1. Represents an award of restricted stock units ("RSUs"), each of which represents a contingent right to receive one share of Common Stock. The RSUs will vest on the earlier of (i) May 16, 2026 and (ii) the date of the next annual shareholders' meeting occurring after the grant date, subject to the Reporting Person's continued service with the Issuer through such vesting date.
