1. The price in column 4 is a weighted average price. These shares were sold in multiple transactions ranging from $2.635 to $2.695, inclusive. The reporting person undertakes to provide to the Issuer and any security holder of the Issuer or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.

2. Includes 28,328 restricted stock units scheduled to vest in twelve substantially equal installments, subject to the Reporting Person's continued service as a director through each vesting date, with the first installment vesting on June 30, 2024, and an additional installment vesting on each monthly anniversary of the date of grant thereafter for the next eleven months. Each restricted stock unit represents the right to receive one share of the Issuer's Common Stock.
