1. Represents an award of restricted stock units ("RSUs") that vests in full on the earlier of (i) the day immediately preceding the date of the Issuer's first annual meeting of stockholders following the date of grant and (ii) March 12, 2026. Each RSU represents a contingent right to receive one share of Common Stock of the Issuer.

2. The number of shares of common stock in this Form 4 reflects the automatic conversion of the prior common stock at a ratio of 1-for-5 in connection with the Issuer's emergence from bankruptcy on January 12, 2025 (the "Recapitalization").
