Explanation of Responses:

1. As previously disclosed, the Issuer's Board of Directors approved an annual grant of $50,000 of common stock to the Reporting Person to be issued on a quarterly calendar basis ($12,500 per quarter); the above-noted amount is pro-rated for the period of her appointment date to the quarter end.

2. The Reporting Person was issued the securities in lieu of $7,500 of compensation due to it.
