Explanation of Responses:

1. The Reporting Person received restricted stock units ("RSUs") on June 9, 2025 having a value equal to approximately $125,000.00 based on the closing price per share of the Issuer's common stock on June 9, 2025. The RSUs will fully vest on the first anniversary of the grant date, subject to continued service on the Board of Directors, and will be settled by delivery of shares of common stock.
