Explanation of Responses:

1. Represents restricted stock units ("RSUs") awarded under the Maravai LifeSciences Holdings, Inc. 2020 Omnibus Incentive Plan. Each RSU represents the right to receive one share of Class A Common Stock of the Issuer upon Vesting. One-half (1/2) of the RSUs shall be fully vested upon the date of grant, and the remaining RSUs shall vest on May 22, 2026, the one-year anniversary of the date of the 2025 Annual Meeting of Shareholders of the Company.
