On March 20, 2025, the Issuer and the Reporting Person entered into a Securities Purchase Agreement (the "Purchase Agreement") for the private placement of 31,250 units (each a "Unit"), with each Unit consisting of (a) two shares of the Issuer's common stock, par value $0.001 per share ("Common Stock") and (b) one warrant (a "Warrant") to purchase one share of Common Stock, at an offering price of $1.92 per Unit. |
| 2. The warrants were purchased by the Reporting Person from the Issuer in a private placement pursuant to the Purchase Agreement, were immediately exercisable and expire on the date that is four years from the date of issuance. |
