Explanation of Responses:

1. Grant of restricted stock units ("RSUs") that convert into common stock on a one-for-one basis. Twenty percent of the RSUs will vest on 1/15/2026 and the remaining RSUs will vest in four substantially equal annual installments beginning on 1/1/2027.
