Explanation of Responses:

1. The reported shares were acquired upon the vesting of RSUs granted to the Reporting Person on June 11, 2024.

2. Represents RSUs elected by the Reporting Person in lieu of the Reporting Person's cash retainer for service on the Issuer's board of directors for fiscal 2025, which vested on June 11, 2025.

3. Each restricted stock unit ("RSU") represents the contingent right to receive, upon vesting of the RSU, one share of the Issuer's common stock.

4. The Reporting Person received a grant of RSUs of which 100% are subject to vesting on June 10, 2026.
