Explanation of Responses:

1. Represents an award of restricted stock units granted under the AerSale Corporation Second Amended and Restated Non-Employee Director Compensation Policy, which will vest 100% on 6/05/2026, subject to continued service on the Issuer's Board of Directors through such date. Each restricted stock unit will convert into one share of the Issuer's common stock upon vesting.
