Explanation of Responses:

1. The shares of Semtech common stock held by The Ye Jane Li Grantor Retained Annuity Trust are reported in Table I as being owned indirectly. The reporting person is trustee of The Ye Jane Li Grantor Retained Annuity Trust, and the reporting person and members of her immediate family are the sole beneficiaries of the trust.

2. Each stock unit represents the contingent right to receive one share of Semtech common stock.

3. This RSU award fully vested on the day immediately preceding the 2026 Annual Meeting of Stockholders.

4. The stock units vest on the earlier of the one year anniversary of the award and the day immediately preceding the date of the first annual meeting of stockholders following the grant and are payable in shares.
