1. Restricted Stock Unit ("RSU") award granted on January 17, 2025. Each RSU represents a contingent right to receive one share of the Issuer's common stock once vested. The entire award vests and becomes non-forfeitable on January 17, 2026, or, if earlier, the date of the next annual meeting of stockholders of the Issuer following January 17, 2025.
