Explanation of Responses:

1. The reported shares were sold to satisfy the reporting person's tax obligations in connection with the vesting of restricted stock units, or RSU's.

2. A portion of these securities are RSUs. Each RSU represents a contingent right to receive one share of the Issuer's Common Stock.

3. On August 23, 2024, the Issuer completed a one-for-fifteen reverse stock split of its common stock. All of the share numbers have been adjusted to reflect this reverse stock split.
