1. These restricted stock units vested on 6/4/2025 and become payable, on a one-for-one basis, in shares of the Issuer's common stock upon separation of the Reporting Person's service as a director.

2. Includes 9,327 vested restricted stock units that become payable, on a one-for-one basis, in shares of the Issuer's common stock upon separation of the Reporting Person's service as a director.

3. These restricted stock units, which convert into common stock on a one-for-one basis, were granted under the 2020 Graham Corporation Equity Incentive Plan in a transaction exempt under Rule 16b-3 and, except as otherwise provided in the award notice, vest on 6/2/2026 and become payable in common stock upon separation of the Reporting Person's service as a director.
