Explanation of Responses:

1. Represents restricted stock units ("RSUs") granted to the Reporting Person on the Transaction Date pursuant to the Exelixis, Inc. 2017 Equity Incentive Plan. Each RSU is the economic equivalent of one share of Exelixis, Inc. common stock ("Common Stock"). The RSUs will vest as to 100% of the shares subject to the RSU award on May 29, 2026, subject to the Reporting Person's continuous service through that date.

2. Includes 28,650 shares of Common Stock that will be issued to the Reporting Person upon vesting of RSUs.
