Explanation of Responses:

1. The Reporting Person resigned from the Issuer's board of directors as of December 15, 2025. The Reporting Person's prior grant of restricted stock units ("RSUs"), disclosed on a Form 4 filed on October 30, 2025, was forfeited and canceled upon such resignation. None of the RSUs vested prior to, or as of, the Reporting Person's resignation date. As a result, the shares reported as disposed of in this Form 4 represent the forfeiture by the Reporting Person of all of the shares underlying the RSUs.
