| 1. It was previously reported on a Form 4 filed on April 2, 2024 that the reporting person was granted an award of 46,729 RSUs under the Citizens, Inc. Omnibus Incentive Plan for the 2024 long-term incentive. Pursuant to the Amendment to the Executive Employment Agreement for Mr. Shields effective January 1, 2024, he was not entitled to these RSUs and instead, was eligible to earn RSUs based on 2024 pay-for-performance. The original 46,729 RSU grant was voided and these 27,472 RSUs are being awarded and immediately vested pursuant to such contract and achievement of 2024 pay-for-performance goals. |
