Explanation of Responses:

1. Represents a grant of restricted shares of common stock, par value $0.0001 per share, of the Issuer granted under the Petros Pharmaceuticals, Inc. Amended and Restated 2020 Omnibus Incentive Compensation Plan, as amended. 50% of the shares vest on the first anniversary of the date of grant and the remaining shares vest on the second anniversary on the date of grant, provided that the Reporting Person continues to provide service to the Issuer on the applicable vesting date.
