1. Represents a restricted stock unit ("RSU") award. The RSUs will vest on the earlier of June 2, 2026 or the next annual stockholders meeting, subject to the Reporting Person's continued service as a director through the applicable vesting date.

2. The securities are held by Gineane Holly Stalfort, as Trustee of the John A. Stalfort III 2018 Irrevocable Trust under agreement dated as of October 25, 2018.

3. The shares vest on the earlier of June 2, 2026 or the next annual stockholders meeting, subject to the Reporting Person's continued service as a director through the applicable vesting date.
