Explanation of Responses:

1. Constitute restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of Class A Common Stock upon vesting. 1/4th of the RSUs shall vest on each quarterly anniversary measured from May 21, 2025, subject to the Reporting Person continuing as a service provider through each such date.
