Explanation of Responses:

1. Represents a grant of restricted shares (the "Restricted Shares"). Subject to the Reporting Person's continued service through the applicable vesting date, 100% of the Restricted Shares shall vest on May 1, 2026.

2. Neil Subin is the Manager of MILFAM LLC. MILFAM LLC is the manager of Milfam Investments LLC. Mr. Subin disclaims any beneficial ownership of the reported securities other than to the extent of any pecuniary interest he may have therein, directly or indirectly.

3. MILFAM CI LLC SPARTACUS is controlled by MILFAM CI Management LLC, which is owned and controlled by Neil Subin. Mr. Subin disclaims any beneficial ownership of the reported securities other than to the extent of any pecuniary interest he may have therein, directly or indirectly.
