1. The Reporting Person surrendered the shares of Common Stock to the Issuer without receiving any payment or other value in return.

2. As adjusted for a 1 for 8 reverse split that occurred on November 28, 2025.

3. The option vests in four equal installments beginning on the first day of the calendar quarter following August 26, 2025 and on the first day of each calendar quarter thereafter until fully vested.
