On June 23, 2025, Holcim Ltd (Holcim) distributed 100% of the issued and outstanding ordinary shares of the Issuer to the shareholders of Holcim, with each Holcim shareholder receiving one ordinary share of the Issuer for every ordinary share of Holcim held by such holder as of the close of business on June 20, 2025 (the Distribution). The reported amount represents the number of ordinary shares of the Issuer that the reporting person received in the Distribution. Such acquisition was exempt from Section 16 of the Securities Exchange Act of 1934, as amended, pursuant to Rule 16a-9 thereunder. |
