Explanation of Responses:

1. Represents a grant of deferred stock units ("DSUs") issued pursuant to the reporting person's election to receive DSUs in lieu of the annual non-employee director restricted stock unit grant. These DSUs will vest on May 1, 2026 and will settle into an equal number of shares of the issuer's Common Stock upon the reporting person's termination of board service pursuant to the issuer's Non-Employee Director Deferred Compensation Plan and 2016 Omnibus Incentive Plan, as amended.

2. Represents vested DSUs granted pursuant to the reporting person's election to receive DSUs in lieu of quarterly director fees. These DSUs will settle into an equal number of shares of the Company's Common Stock upon the reporting person's termination of board service pursuant to the Company's Non-Employee Director Deferred Compensation Plan and 2016 Omnibus Incentive Plan, as amended.
