Explanation of Responses:

1. Annual non-employee trustee equity grant of the Issuer's restricted common shares. The award vests 50% on the date of grant and 50% on the earlier of the first anniversary of date of grant or the date of the next annual meeting, subject to the non-employee trustee's continued service with the Issuer during such vesting period.
