1. Grant of Restricted Stock Units. Each Restricted Stock Unit represents the contingent right to receive, upon vesting and settlement, one share of Class A Common Stock.

2. Represents shares of Class A Common Stock to be issued upon vesting and settlement of Restricted Stock Units, which will vest in four (4) equal tranches on August 15, 2025, November 15, 2025, February 15, 2026 and May 15, 2026, subject to continued service as a member of the Board of Directors of the Issuer.

3. Includes shares of Class A Common Stock to be issued upon vesting and settlement of Restricted Stock Units reported on this Form 4.
