Item 1.01 Entry into a Material Definitive Agreement.

On May 7, 2024, DMC Global Inc. (the “Company”) entered into a sublease (the “Sublease”) with Pureon Inc., formerly known as Mypodiamond, Inc., for the Company’s primary domestic clad metal shooting site, located in Dunbar, Pennsylvania. The Sublease replaces the current sublease agreement, which was to expire in 2029, for the site. The terms of the Sublease allow the Company to renew the agreement through May 6, 2054.

The foregoing description of the Sublease is qualified in its entirety by the text of the Sublease, which is filed as Exhibit 10.1 hereto.
