Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers

On December 15, 2022, Andrea E. Bertone, currently a member of the Board of Directors (the “Board”) of DMC Global Inc. (the “Company”), notified the Company that she will not stand for re-election to the Board at the Company’s 2023 annual meeting of stockholders. Ms. Bertone’s decision did not result from a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
