Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 6, 2024, the Company announced that Mr. James Brady, Executive Vice President and Chief Operating Officer will be exiting the Company effective November 29, 2024. In connection with his departure, and in exchange for execution of a separation agreement and release (and not revoking the separation agreement), Mr. Brady will receive a separation payment consistent with the terms previously disclosed in the Company’s 2024 proxy statement under the heading “Non-Change of Control Executive Officer Severance”.
