Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 3, 2022, Robin Raina, the Chairman and Chief Executive Officer of Ebix, Inc. (the “Company”), accepted the offer of the Company’s Compensation Committee to receive his annual base salary of $3,600,000 (the “Base Salary Amount”) in cash. Prior to October 3, 2022, he has not received any Base Salary Amount in either cash or restricted stock for 2022. He will be paid the full Base Salary Amount by the end of 2022. In 2019 and 2020, Mr. Raina received the Base Salary Amount in equivalent restricted stock in lieu of cash, and in 2021 he did not receive the Base Salary Amount in either cash or restricted stock.
