1. Reflects shares of commons stock, par value $0.001 per share of SunPower Corporation ("the Company") granted upon settlement of previously warded restricted stock units ("RSU's").

2. These RSU's were granted on May 2, 2023 in connection with a grant that vests in four equal installments. The remaining installments will vest on June 5, 2025, June 5, 2026 and June 5, 2027.
