Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On December 6, 2024, the Board of Directors of Editas Medicine, Inc. (the “Company”) unanimously adopted Amended and Restated By-Laws of the Company (the “By-Laws”), effective immediately, to clarify the definition of “acting in concert” as used therein, and to make certain other clarifying changes in accordance with Rule 14a-19 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”).
The foregoing description of the By-Laws is qualified in its entirety by reference to the full text of the By-Laws, a copy of which is attached hereto as Exhibit 3.1 and incorporated herein by reference.

On December 9, 2024, the Company issued a press release, titled “Editas Medicine Reports Updated Clinical Data from the RUBY Trial of Reni-cel in Patients with Severe Sickle Cell Disease at the American Society of Hematology (ASH) Annual Meeting,” a copy of which is furnished as Exhibit 99.1 hereto.
